Resolutions for October 1997 MeetingNew!Hot!

The Washington Association of Rail Passengers needs to hold an election this fall. Elections are required by the articles every two years. I believe there was no election held in the fall of 1995.

I would suggest that action be taken by the Board in the first meeting of October. I enclosed four proposed Resolutions which relate to the matters we have discussed.

Please understand that there proposed resolutions are preliminary drafts. If you believe it advisable, copies of these documents could be mailed to the Directors or at least the Executive Committee ahead of time.

It should be noted the Articles of Incorporation provide as follows relative to the Executive Committee:

21) There shall be an Executive Committee consisting of the persons holding the officer of president. Vice-President East, Vice-President West, Secretary, Treasurer, Executive Drector and Editor of the Newsletter, together with such additional members as the Board may authorize.

22) The Officers of this Corporation and the Executive Committee shall exercise such authority as shall be delegated by the Directors of this Corporaton.

30) Any powers conferred upon the Executive Committee by the Board Of Directors shall only be exercised by the agreement of two-thirds of the members present at a meeting of the Executive Committee.

I enclosed a copy of proposed Resolutions entitled:

RESOLUTION Establishing Dues for General and Section Membership.

A RESOULTION Relating to the Board of Directors of the Washington Association of Rail Passengers.

RESOLUTION Establishing A new Position of Vice-President--Rail Transit of the Washington Association of Rail Passengers.

With respect to the dues. I talked to Hans and he says the present formula is $20.00 for an individual and $30.00 for a family membership. I also understand there is a $15.00 membership due for people on fixed incomes, and a $50.00 patron membership. In the interest of clarity and simplicity. I am suggesting that the regular dues be S20.00 for an individual and $30.00 for a husband and wife team, and that the same sitiuation exist for section dues. Of course, I greatly appreciate Hans and his many contributions and I do not wish to create any problem for Hans.

With respect to the size of the Board, this Resolution would allow fifteen Regional Directors and six additional At large Directors for a total of twenty-one.

I believe the program relative to the establishment of Sections will fully accommodate the transit peope. It would give them some autonomy (as if would give intercity Western and Intercity Eastern), but would leave the final decisions up to the Board of Directors. I do not see what else could be done for the transit oeopIe without radical changes to our program. I do hope the transit people will come in under what we are suggesting.

With respect to the Resolution regarding the creation of a Vice-President-Transit. This would require a Resolution and would require a statement that he or she would be a member of the Executive Committee.

RESOLUTION ESTABLISHING SECTIONS FOR THE MEMBERS OF THE WASHINGTON ASSOCIATlON OF RAlL PASSENGERS

THE BOARD OF DIRECTORS of the Washington Association of Rail Passengers duly assembled does hereby adopt the following Resoution:

  1. There is hereby established three sections of the Washington Assocation of Rail Passengers to be known as follows: the Intercity Rail West Section. the Intercity Rail East Section, and the Puget Sound Rail Transit Section.
  2. The Intercity Rail West Section is entitled to concern itself with Intercity rail west of the summit of the Cascade Mountains; the Intercity Rail East Section is entitled to concern itself with intercity rail east of the summit of the Cascade Mountains; and the Puget Sound Rail Rail Transit Section is entitled to concern itself with rail transit in the counties of Snohomish, King, and Pierce. Each of the foregoing sections is also enttied to concern itself with terminals and alternate connecting transportation within its respective area.
  3. Any member of tne Washington Association of Rail Passengers may join any or all sections, but membership in any section is voluntary.
  4. Special dues for each section shall be paid to and held by the treasurer of this corporation.
  5. The Board of Directors shall appoint a special committee, consisting of members of a particular section, in such number as the Board determines appropriate, to exercise leadership of the section.
  6. All monies received by the Treasurer of this corporation, as section dues or special donations for a particular section, shall be held in a special account and may be disbursed at the direction of the committee for the section, provided such expenditure is not contrary to the articles of incorporation, as amended.
  7. Any action approved by a majority of a section committee at a duly assembled meeting thereof shall be the act of the section. and if confirmed by the Board of Directors, shall be the act of the Washington Assocciation of Rail Passengers.

RESOLUTION ESTABLISHING DUES FOR GENERAL AND SECTION MEMBERSHlP

THE BOARD OF DIRECTORS of the Washington Association of Rail Passengers, duly assembled, does hereby adopt the following Resolution:

  1. Base membership dues for the corporation. which shall entitle an individual to general membership privileges. and which may be used for any purpose allowed by the Articles of Incorporation, shall be:
    • For an Individual membership $20.00
    • For husband and wife individual membership $30.00
  2. The dues for any one section (to be paid in addition to the regular membership dues) which will entitle the member to special privileges as a section member are:
    • For an individual membership $20.00
    • For husband and wife individual membership $30.00
  3. This Resolution shall not be construed to prevent or discourage contributions to the Washington association of Rail Passengers for both general use and section use.

Board of Directors Make Up / ResponsibiltiesNew!Hot!

A RESOLUTION RELATING TO THE BOARD OF DIRECTORS OF THE WASHINGTON ASSOCIATION OF RAIL PASSENGERS

THE BOARD OF DIRECTORS of the Washington Association of Rail passengers duly assembled does hereby adopt the following Resolution:

  1. The number of Division Directors, effective January 1, 1998, shall be fifteen.
  2. The number of Division Directors allocated to each Division are as follows:
    • Eastern Division-3
    • Northwestern Division-3
    • Puget Sound Division-6
    • Southwestern Division-3
  3. The number of At large Directors shall be six.
  4. The At large Directors may be appointed by the Division Directors and the terms of office of the At arge Directors shall expire at the same time as the terms of office of the Division Directors.
  5. All directors are expected to attend the meetings of Directors to the extent reasonably convenient.
  6. The reguar meetings of the Directors shall be held on the second Saturday of January. April, July, and October; and special meetings may be called by the chairman of the Board of Directors; and any meeting of the Board of Directors may oe scheduled for a time and place different from the regular meeting of members.

RESOLUTION RELATING TO ESTABLISHING A NEW POSITION OF VICE-PRESIOENT-RAIL TRANSIT OF THE WASHINGTON ASSOCIATION OF RAIL PASSENGERS

THE BOARD OF DIRECTORS of the Washington Association of Rail Passengers, duly assembled, does hereby adopt the following Resolution:

  1. There is hereby created a new position of Vice-President--Transit Of the Washington association of Rail Passengers.
  2. This Resolution shall be effective immediately
